Design Services, IP & Confidentiality Terms
Effective date: October 28, 2026
These terms apply to CAD, product design, reverse engineering and other design work we do for you, and to how we handle your intellectual property (IP) and confidential information. They add to our Terms of Service.
Your ideas and files stay yours
You keep all rights in the ideas, sketches, files, designs, products and confidential information you bring to us ("Your Materials"). Sharing them with us doesn't transfer any ownership. We use Your Materials only to scope, quote and deliver your project.
Who owns the design work
- By default, you own the final deliverables. When you've paid for the design work in full, we assign to you our rights in the final design files, drawings and models we create specifically for your project ("Deliverables"). Until full payment, we keep those rights and you may use draft deliverables only to review the work.
- Different arrangements must be in writing. If your proposal or agreement says something else — for example that FORMYQ licenses the design to you, that ownership is shared, or that it's still to be agreed — that written arrangement applies instead. Your project page in your account shows which arrangement applies.
- Our general know-how stays ours. We keep ownership of our pre-existing tools, templates, scripts, generic design techniques, standard parts and the general skills and knowledge we use or develop while working. Where any of these are built into your Deliverables, you get a permanent, royalty-free licence to use them as part of those Deliverables.
- Third-party parts. Off-the-shelf components, purchased models or fonts remain subject to their own licences, which we'll tell you about.
Design scope, revisions and approvals
Each design proposal sets out the scope, the deliverables, the number of revision rounds included, the price and an estimated schedule. Work outside the scope, or extra revisions, is quoted separately before we do it. Design and manufacturing are priced separately. You're responsible for checking and approving designs, including fit with other parts and suitability for your use. Our approval of a design for printing isn't an engineering certification.
Confidentiality
- We keep your confidential information confidential. Only the people at FORMYQ working on your project and the service providers listed in our Privacy Policy can access it, and only for your project.
- This doesn't cover information that is already public, that we already knew or developed independently, or that we must disclose by law (in which case we'll tell you if we're allowed to).
- NDA on request. If you need a signed non-disclosure agreement before sharing details, tick "NDA requested" on the design brief or email design@formyq.com and we'll sign a reasonable mutual NDA before you send anything sensitive.
Portfolio and publicity
We never show your parts, files, designs or name in our portfolio, case studies or social media without your written permission. If you give permission, you can withdraw it later for future use.
Your responsibilities
You confirm that Your Materials don't infringe anyone else's rights and that you're allowed to have the design made (see Section 4 of our Terms and our Acceptable Use Policy). We don't carry out patent, trademark or freedom-to-operate searches; if those matter for your product, please get specialist advice.
Ending a design project
Either of us can end a design project by written notice. You'll pay for work done up to that point, and once that's paid you'll receive the work in progress and own it under the rules above.
